Terms and Conditions

These Terms and Conditions (“Terms”) govern your use of the Stealz International LLC website and any purchase of merchandise from Stealz International LLC (“Stealz International,” “we,” “us,” or “our”). By using our website, submitting an order, paying an invoice, or accepting merchandise, you agree to these Terms.
1. Wholesale and Business-to-Business Sales
Stealz International primarily sells wholesale merchandise to businesses, resellers, exporters, distributors, and other commercial buyers. By placing an order, you represent that:
- You are at least 18 years old;
- You have authority to act for the purchasing business;
- The information and business credentials you provide are accurate; and
- You are purchasing for a lawful business purpose.
We may request a resale certificate, seller’s permit, tax identification number, identification, or other documentation before accepting an order.
2. Product Availability and Listings
All merchandise is subject to prior sale and availability. Website listings, photographs, manifests, estimated quantities, retail-price references, descriptions, and promotional materials are provided for general informational purposes.
Unless expressly written on the final invoice, no listing, message, quotation, photograph, sample, or conversation constitutes a guarantee concerning:
- Exact styles, colors, sizes, models, or assortment;
- Packaging or cosmetic condition;
- Retail value or resale price;
- Sales performance or profitability;
- Marketplace or platform eligibility;
- Manufacturer warranties;
- Brand authorization; or
- Availability of replacement merchandise.
Photographs may be representative rather than photographs of every individual unit.
3. Order Acceptance
Submitting an inquiry, purchase request, or payment does not automatically require us to accept an order. An order is accepted only when Stealz International issues or approves a final invoice and accepts payment.
If these Terms conflict with a signed agreement or final invoice, the signed agreement or final invoice will control for that transaction.
4. Prices and Payment
Prices are stated in U.S. dollars unless otherwise specified. Payment must be made using an approved payment method and within the time shown on the invoice.
Merchandise is not reserved until any required deposit or full payment has been received and cleared. We may cancel or reallocate unpaid inventory.
Buyer is responsible for bank charges, wire fees, payment-processing fees when disclosed, taxes, duties, customs charges, storage charges, and other transaction expenses unless the invoice expressly states otherwise.
5. Taxes and Resale Documentation
Buyer is responsible for providing a valid and complete resale certificate or other exemption documentation before the transaction when requesting tax-exempt treatment.
Buyer is responsible for any sales, use, excise, import, export, or similar taxes arising from the purchase unless Stealz International is legally required to collect them.
6. Merchandise Condition and Due Diligence
Wholesale, liquidation, closeout, shelf-pull, overstock, customer-return, salvage, and secondary-market merchandise may contain irregularities. Depending on the specific transaction, merchandise may include:
- Damaged or distressed packaging;
- Stickers, labels, markdowns, or residue;
- Missing packaging, accessories, instructions, or components;
- Customer-handled or returned units;
- Cosmetic defects;
- Mixed models, sizes, styles, colors, or conditions;
- Discontinued, seasonal, short-dated, or past-season products; or
- A commercially reasonable amount of damaged, defective, incomplete, or unsellable merchandise.
The applicable condition will be described to the best of our knowledge in the offer, manifest, invoice, or written communications. Buyer is responsible for reviewing all available photographs, manifests, samples, descriptions, expiration or best-by dates, and other information before purchasing.
Buyer is encouraged to inspect the merchandise personally or through an authorized representative. If Buyer chooses not to inspect available merchandise, Buyer accepts the risks that a reasonable inspection could have revealed.
7. AS-IS Wholesale Sale and Disclaimer of Warranties
EXCEPT FOR EXPRESS REPRESENTATIONS WRITTEN ON THE FINAL INVOICE, ALL MERCHANDISE IS SOLD “AS IS,” “WHERE IS,” AND “WITH ALL FAULTS.”
TO THE MAXIMUM EXTENT PERMITTED BY LAW, STEALZ INTERNATIONAL DISCLAIMS ALL IMPLIED WARRANTIES, INCLUDING THE IMPLIED WARRANTY OF MERCHANTABILITY AND THE IMPLIED WARRANTY OF FITNESS FOR A PARTICULAR PURPOSE.
No statement concerning estimated retail value, original retail price, potential profit, sales history, product demand, or resale opportunity is a promise or guarantee of results.
Nothing in these Terms excludes a warranty or responsibility that cannot legally be excluded.
8. Marketplace and Resale Eligibility
Buyer is solely responsible for determining whether merchandise may be lawfully or contractually listed, advertised, exported, imported, or resold through Amazon, Walmart, eBay, TikTok Shop, department stores, online marketplaces, or any other sales channel.
Stealz International does not guarantee the availability of invoices, authorization letters, testing documents, compliance records, brand approvals, chain-of-custody documents, or marketplace approval unless expressly stated in writing before purchase.
Buyer is responsible for complying with all applicable product-safety, labeling, advertising, intellectual-property, marketplace, import, export, and resale requirements.
9. Shipping, Pickup, Title, and Risk of Loss
Shipping and freight are not included unless expressly stated on the invoice.
The invoice or shipping agreement will determine delivery terms. Unless otherwise stated in writing, Buyer is responsible for freight arrangements and expenses.
For Buyer-arranged pickup or transportation, risk of loss passes to Buyer when the merchandise is released to Buyer, Buyer’s representative, or Buyer’s carrier. For transportation arranged by Stealz International, the applicable invoice and freight terms will determine when risk passes.
Buyer must count the pallets or cartons, inspect the visible condition of the shipment, and record any shortage or visible damage on the bill of lading or delivery receipt before signing. A clean signed delivery receipt may be treated as confirmation that the shipment was received without visible shortage or damage.
Delivery dates are estimates unless expressly guaranteed in writing.
10. Inspection and Claims
Buyer must inspect merchandise promptly after pickup or delivery.
Claims involving an incorrect product, material quantity shortage, or material inconsistency with the final written invoice must be submitted in writing within three business days after receipt.
The claim must include:
- Invoice number;
- Bill of lading or delivery receipt;
- Photographs and video of the unopened shipment and affected merchandise;
- Pallet, carton, and unit counts;
- A clear explanation of the claimed discrepancy; and
- Any other documentation reasonably requested.
Buyer must preserve the merchandise, cartons, labels, pallet wrapping, and shipping materials while the claim is reviewed. Buyer may not return, dispose of, alter, relabel, resell, or redistribute disputed merchandise without written authorization.
Failure to submit a complete and timely claim may result in denial of the claim to the extent permitted by law.
11. Returns, Refunds, and Cancellations
All sales are final except as expressly provided in our Return and Refund Policy or required by law.
No return will be accepted without prior written authorization. Unauthorized returns may be refused.
Orders may not be canceled after payment, release to a warehouse, preparation for shipment, or scheduling of transportation without our written approval. Any approved cancellation may be subject to documented costs and a restocking or cancellation charge disclosed to Buyer.
12. Limitation of Liability
To the maximum extent permitted by law, Stealz International will not be liable for lost profits, lost sales, loss of business opportunity, marketplace suspension, reputational harm, indirect damages, incidental damages, special damages, or consequential damages arising from a transaction or use or resale of merchandise.
To the maximum extent permitted by law, Stealz International’s total liability concerning a transaction will not exceed the amount Buyer paid Stealz International for the specific merchandise giving rise to the claim.
13. Buyer Responsibility and Indemnification
Buyer is responsible for the storage, handling, labeling, advertising, export, distribution, and resale of purchased merchandise.
To the extent permitted by law, Buyer agrees to defend, indemnify, and hold harmless Stealz International and its owners, employees, and agents from third-party claims arising from Buyer’s unlawful conduct, unauthorized representations, modification of products, improper storage or handling, or resale activities.
14. Website Use
You may not use our website to commit fraud, interfere with its operation, collect information without authorization, introduce malicious software, impersonate another person or business, or violate applicable law.
Website content—including text, graphics, branding, and original photographs—may not be copied or commercially used without permission, except for authorized promotion of merchandise purchased from us.
15. Governing Law
These Terms are governed by the laws of the State of California, without regard to conflict-of-law principles. Subject to applicable law and any separate written agreement, disputes must be brought in the state or federal courts serving Orange County, California.
16. Changes to These Terms
We may update these Terms periodically. Updated Terms will be posted with a new effective date. The version in effect when an order is accepted will generally govern that transaction.
